Welcome to https://frc-all-music.com (the "Website" or "Service"), operated by FRC All Music LLC ("FRC All Music," "we," "us," or "our"). These Terms and Conditions ("Terms") govern your access to and use of the Service, including all content, features, and services offered through the Website, including Pro account subscriptions. These Terms incorporate our Privacy Policy, Community Guidelines, Cookie Policy, and any other terms referenced herein (collectively, the "Documents"). In the event of a conflict between these Terms and any other Documents, these Terms shall prevail solely with respect to your use of Pro accounts. Capitalized terms not specifically defined in these Terms shall have the meanings given in the Documents.

1. Acceptance of Terms

By using the Service, you confirm that you are at least 18 years of age and have the legal capacity to enter into these Terms. If you are under 18, you must obtain parental or guardian consent to use the Service. By accessing the Service, you agree to comply with these Terms, our Privacy Policy, Community Guidelines, and any additional guidelines or rules posted on the Website.

2. Description of the Platform

The Service is a hosting platform for the music industry, enabling registered users to submit, upload, and post audio, videos, event information, text, photos, graphics, comments, and other content, data, or information ("User Content"), which will be stored by FRC All Music at the direction of such users and may be shared and distributed using the tools and features provided on the Website, apps, and other platforms. The Service allows registered users to interact with one another, contribute to discussions, and build a following within the music community. Any user, whether registered or not, may view, listen to, or share User Content uploaded and made available by registered users, subject to account permissions and settings.

The Service includes social and interactive features that enable users to engage with and learn from the FRC All Music community to build connections and access personalized content. For example, users who upload content, such as music or event information, gain access to analytics features that provide insights into how their content performs, including identifying top listeners, downloaders, or event attendees.

Certain features, such as advanced analytics, priority visibility, and premium tools, are only available to registered users who upgrade to a Pro account (see Section 4). The Service remains free for users who choose not to upgrade, supported by tailored advertisements on behalf of third-party advertisers. To provide a customized experience and personally relevant ads, we use information you provide when interacting with the Service, as described in our Privacy Policy.

We may, from time to time, release new tools, resources, or versions of our apps, or introduce new services and features for the Service. Any new services or features will be subject to these Terms and any additional terms we may release for those specific services or features.

3. Your Use of the Platform

Subject to your strict compliance with these Terms and our Community Guidelines at all times, FRC All Music grants you a limited, personal, non-exclusive, revocable, non-assignable, and non-transferable right and license to:

  • Access and view User Content uploaded to the Service.
  • Listen to audio content streamed from the Service or downloaded for offline use, where enabled by the user who uploaded the content ("Uploader").
  • Share and download audio content using the Service’s features, where permitted by the Uploader and subject to territorial availability.

If you register to use the Service, you are further granted a limited, personal, non-exclusive, revocable, non-assignable, and non-transferable right and license to:

  • Submit, upload, or post User Content (e.g., music, videos, event information, comments) and keep such content available on the Service, strictly in accordance with these Terms.
  • Participate in community areas and communicate with other members of the FRC All Music community, strictly in accordance with these Terms and Community Guidelines.
  • Use apps and other services provided as part of the Service, strictly as permitted by these Terms and any applicable additional terms.

The above licenses are conditional upon your compliance with these Terms and Community Guidelines, including but not limited to the following:

  • You must not copy, rip, or capture any audio content from the Service, except where the Uploader has enabled downloads or offline listening.
  • You must not adapt, copy, republish, make available, or otherwise communicate to the public, display, perform, transfer, share, distribute, or exploit any User Content, except where it is your own User Content or as permitted by the Uploader’s settings (e.g., Creative Commons licenses).
  • You must not use any User Content (other than your own) to create a separate content service or replicate any part of the Service’s offering.
  • You must not employ scraping or similar techniques to aggregate, repurpose, or republish User Content.
  • You must not use automated tools (e.g., bots, scripts) to misrepresent the popularity of your User Content, your activity, or to artificially increase followers, plays, or comments.
  • You must not alter or remove any trademark, copyright, or other proprietary notices on the Service or User Content (other than your own).
  • You must not copy, adapt, reverse engineer, decompile, or attempt to discover the source code of the Service, or circumvent copy protection, territorial restrictions, or rights management information for User Content (other than your own).
  • You must not upload, post, store, transmit, or distribute:
    • Content that is abusive, defamatory, pornographic, obscene, or promotes violence, terrorism, or hatred based on race, ethnicity, religion, disability, gender, or sexual orientation.
    • Content that infringes third-party rights, including copyright, trademark, privacy, or publicity rights.
    • Content that violates any law, rule, regulation, or court order.
    • Malicious content (e.g., viruses, malware) that could disrupt the Service.
    • Unsolicited advertising, spam, or promotional messages.
  • You must not commit or encourage conduct that constitutes a criminal offense, gives rise to civil liability, or violates any law or regulation.
  • You must not impersonate any person or entity, or misrepresent your affiliation.
  • You must not use or attempt to use another user’s account without permission.
  • You must not sell, transfer, or lease access to your account or User Content without our prior written consent.
  • You must not collect personal data about other users through scraping or other means.
  • You must not attempt to breach the Service’s security, scan for vulnerabilities, or interfere with its operation (e.g., via hacking, overloading).

Failure to comply with these conditions may result in suspension or termination of your account, legal action, or reporting to relevant authorities.

4. Fair Usage Policy

To ensure the stability and integrity of the Service, all users must adhere to a fair usage policy. This includes using the Service responsibly and not engaging in activities that excessively consume resources, disrupt functionality, or negatively impact other users. Examples of prohibited activities include excessive uploads beyond reasonable limits, spamming, or engaging in behavior that degrades the platform’s performance. Upload and storage allowances for both free and Pro accounts are detailed on our Upload and Space Allowance page. We reserve the right to limit, suspend, or terminate accounts that violate this fair usage policy.

5. Pro Account Subscriptions

Certain features of the Service are only available to users who upgrade to a Pro account, available for all account categories (Artist, Music Industry, Music Consumer). To protect users and allow familiarity with the Service’s functionality, you must first create a standard (free) account before upgrading to a Pro account. These Terms outline the additional conditions for Pro accounts, including payment, subscription activation, renewal, and withdrawal rights for EU/EEA/UK users.

5.1 Pro Account Features and Prices

A detailed description of Pro account features and prices is available on our Pro Account plan page. All prices include GST or other applicable sales taxes in Australia. FRC All Music reserves the right to modify Pro account features or prices, with changes communicated at least six weeks in advance and effective only upon your next subscription renewal.

5.2 Selecting and Purchasing Pro Accounts

To purchase a Pro account, you must first create a standard account in one of the following categories:

  • Artist: Includes subcategories for Artist, Choir, Band, and Orchestra.
  • Music Industry: Includes subcategories for Producer, Songwriter, Label, Promotion Manager, Video Producer, Associations and Organizations, Ballet or Dance, Music School/Education, Music Magazine, and Music Journalist.
  • Music Consumer: Includes subcategories for Disc Jockey, Retail Music Business, Venue, Fanclub, Actor/Actress, Radio Presenter, and Radio or TV Station.

Once registered, select the Pro option for your account category on the Website or through a third-party app store ("Third Party Store") and choose your preferred billing cycle (monthly or annual, where applicable). Enter your payment details via Stripe and click the “Buy Subscription” or “Upgrade to Pro” button. Submitting your payment information constitutes an offer to conclude a contract, which is finalized upon our confirmation or activation of your Pro account.

5.3 Conclusion of Contract and Start of Pro Account

Your Pro account will be activated upon receipt of payment, and we will send a confirmation email to the address associated with your account. The contract is concluded when you receive this confirmation or when your Pro account is activated, whichever occurs first.

5.4 Payment

Payments for Pro accounts are payable in advance at the time the contract is concluded via Stripe. Payment can be made by Visa, Mastercard, or other methods presented during the purchase process. Song sales transactions are processed separately via PayPal, as outlined in Section 6.

5.5 Term and Renewal

  • Monthly Subscriptions: Pro accounts with a monthly billing cycle run from month to month ("Billing Month") and renew automatically at the end of each Billing Month unless canceled before the renewal date. Payment for the next Billing Month will be charged via Stripe on the renewal date.
  • Annual Subscriptions: Pro accounts with an annual billing cycle run for a twelve-month period ("Billing Year") and renew automatically for successive twelve-month periods unless canceled before the renewal date. Payment for the next Billing Year will be charged via Stripe on the renewal date.
  • Cancellation: You may cancel your Pro account at any time via the subscription settings on the Website or, if purchased through a Third Party Store, through the store’s subscription settings. The cancellation will take effect at the end of the current Billing Month or Year.
  • Automatic Renewal: If you do not cancel your Pro account before the renewal date, we will automatically charge your payment method via Stripe at the start of each successive Billing Month or Year.

5.6 Upgrading and Downgrading

  • Upgrading: You may upgrade to a Pro account from a standard account via the subscription settings on the Website or Third Party Store. Upgrades take effect immediately, and you will be charged the prorated difference in price based on the remaining portion of your current billing cycle. Your renewal date will change to the upgrade date.
  • Downgrading: You may downgrade to a standard account. The downgrade will take effect at the end of your current billing cycle, and you will retain access to your current Pro account features until then. Any content exceeding standard account limits (as specified on our Upload and Space Allowance page) may be hidden but accessible for deletion.

5.7 Right of Withdrawal (EU/EEA/UK Users)

If you are a consumer in the European Union (EU), European Economic Area (EEA), or the United Kingdom, you have a legal right to withdraw from your Pro account purchase within 14 days without giving a reason. The withdrawal period expires 14 days from the date of contract conclusion (i.e., receipt of confirmation email or account activation).

To exercise your right of withdrawal, you must inform us of your decision by an unequivocal statement (e.g., a letter sent by post or email) to:

You may use a model withdrawal form, but it is not obligatory. To meet the withdrawal deadline, send your communication before the 14-day period expires.

Effects of Withdrawal: If you withdraw, we will reimburse all payments received, less a 50% administrative fee, provided the refund amount exceeds AUD$30. International transaction fees, if applicable, will be deducted. Reimbursement will be made via Stripe using the same payment method as the initial transaction, unless otherwise agreed, within 14 days of receiving your withdrawal notice. If you used Pro account services during the withdrawal period, you may be charged a prorated amount for services provided. Upon withdrawal, your Pro account will be downgraded to a standard account, and any content exceeding standard account limits may be hidden but accessible for deletion.

6. Song Uploads and Sales

  • Song Upload Process: Users in the Artist category may upload songs to the Service. During the upload process, you must confirm via a checkbox that you own the copyright to the song or have permission from the copyright holder to upload it. Songs will not be displayed on the Service unless this checkbox is ticked.
  • Song Sales: Artists may mark songs for sale by entering a price in the “Sell this Song” field during the upload process and providing a valid PayPal email address. All proceeds from song sales go directly to the artist via PayPal. FRC All Music does not charge any fees for song sales and is not involved in the sales transaction process.
  • Sample Length: Songs marked for sale are automatically shortened to a 60-second sample length for preview on the Service. Full song downloads are handled directly between the artist and the purchaser.
  • No Liability for Transactions: FRC All Music is not responsible for failed transactions, non-delivery of downloaded songs, or any disputes arising from song sales. All transactions are conducted directly between the artist and the purchaser, and FRC All Music shall not be held liable for any issues related to payment or delivery.

7. User-Generated Content

  • Ownership: You retain ownership of User Content you upload, such as music, videos, event information (e.g., concerts, performances), comments, and community posts. By uploading User Content, you grant FRC All Music a limited, worldwide, non-exclusive, royalty-free license to use, display, reproduce, and distribute your content for the purpose of operating, promoting, and improving the Service, including featuring your content in marketing materials or on the platform. You may control the availability of your User Content (e.g., enabling downloads or sharing) via the Service’s settings, subject to these Terms.
  • Responsibility: You are solely responsible for your User Content and must ensure it complies with applicable laws and these Terms. You represent and warrant that:
    • Your User Content is original or you have obtained all necessary rights, licenses, consents, and permissions to upload and share it, including for music, videos, and event information.
    • Your User Content does not infringe third-party rights, including copyright, trademark, privacy, or publicity rights.
    • You have obtained necessary consents for any persons appearing in your User Content (e.g., name, voice, performance, likeness).
    • Your User Content is not unlawful, abusive, defamatory, pornographic, obscene, or promotes violence, terrorism, or hatred based on race, ethnicity, religion, disability, gender, or sexual orientation.
    • Your User Content does not create liability for FRC All Music or its affiliates.
  • No Liability for Events: FRC All Music is not responsible for incorrect event information, canceled events, or any disputes arising from events published on the Service. All event-related transactions or interactions are conducted directly between users and event organizers, and FRC All Music shall not be held liable for any issues related to events.
  • Liability for Content: FRC All Music acts as a passive host for User Content and does not actively review content uploaded by users. We have no obligation to monitor content for appropriateness or infringement but reserve the right to remove or restrict access to any User Content that violates these Terms, Community Guidelines, or applicable law. FRC All Music excludes all liability for User Content and user activities, to the fullest extent permitted by law.
  • Prohibited Content: You may not upload content that is illegal, infringing, obscene, defamatory, harassing, or otherwise violates the rights of others. We reserve the right to remove or disable access to any User Content that violates these Terms.

8. Reporting Infringements

If you discover User Content on the Service that you believe infringes your copyright or other rights, please report it to us at:

Your notice should include:

  • A statement identifying the infringing content and the rights violated (e.g., copyright, trademark).
  • A description of the copyrighted work or other material claimed to be infringed.
  • The URL or location of the infringing content on the Service.
  • Your full name, address, telephone number, email address, and FRC All Music username (if applicable).
  • A statement that you believe in good faith the use is not authorized by the rights owner, their agent, or the law.
  • A statement that the information in your notice is accurate and that you are authorized to act on behalf of the rights owner.

We will investigate and take appropriate action, including removing infringing content or terminating accounts, as outlined in Section 9.

9. Blocking and Removal of Content

FRC All Music reserves the right to block, remove, or restrict access to any User Content at any time, without liability, if we believe it violates these Terms, Community Guidelines, or applicable law, or is otherwise unacceptable. Uploaders may also remove their own content, and FRC All Music is not liable for any inability to access content due to its removal by the Uploader or FRC All Music.

10. Repeat Infringers

FRC All Music will suspend or terminate your access to the Service if we determine, in our reasonable discretion, that you have repeatedly violated these Terms or Community Guidelines, including copyright infringement or prohibited activities. If we receive valid third-party notifications of infringement or violations, we will issue a written warning. Users receiving more than two warnings may have their account terminated. Accounts may also be terminated without warning if ordered by a court or in other appropriate circumstances, as determined by FRC All Music. No refunds will be issued for Pro accounts terminated due to violations.

11. Prohibited Activities

You agree not to:

  • Use the Service for any illegal or unauthorized purpose.
  • Upload or share content that infringes copyrights, trademarks, or other intellectual property rights.
  • Engage in harassment, abuse, bullying, or spamming of other users.
  • Attempt to gain unauthorized access to the Service, its systems, or other users’ accounts.
  • Distribute malware, viruses, or engage in activities that disrupt the Service.
  • Misrepresent your identity, category, or subcategory when creating an account.
  • Use automated tools (e.g., bots, scripts) to misrepresent content popularity, activity, or to artificially increase followers, plays, or comments.
  • Alter or remove any trademark, copyright, or other proprietary notices on the Service or User Content (other than your own).
  • Copy, adapt, reverse engineer, decompile, or attempt to discover the source code of the Service, or circumvent copy protection, territorial restrictions, or rights management information for User Content (other than your own).
  • Upload, post, store, transmit, or distribute:
    • Content that is abusive, defamatory, pornographic, obscene, or promotes violence, terrorism, or hatred based on race, ethnicity, religion, disability, gender, or sexual orientation.
    • Content that violates third-party rights, including copyright, trademark, privacy, or publicity rights.
    • Content that violates any law, rule, regulation, or court order.
    • Malicious content (e.g., viruses, malware) that could disrupt the Service.
    • Unsolicited advertising, spam, or promotional messages.
  • Commit or encourage conduct that constitutes a criminal offense, gives rise to civil liability, or violates any law or regulation.
  • Impersonate any person or entity, or misrepresent your affiliation.
  • Use or attempt to use another user’s account without permission.
  • Sell, transfer, or lease access to your account or User Content without our prior written consent.
  • Collect personal data about other users through scraping or other means.
  • Violate the fair usage policy as outlined in Section 4.

FRC All Music reserves the right to investigate violations and report them to law enforcement authorities.

12. Intellectual Property

All content and materials on the Service, excluding User Content, including text, graphics, logos, and software, are the property of FRC All Music LLC or its licensors and are protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, or distribute such content without our prior written consent. User Content remains the property of the Uploader, subject to the licenses granted in Section 7.

13. Third-Party Services

The Service integrates with third-party platforms, including YouTube, SoundCloud, PayPal for song sales, and Stripe for Pro account payments. Your use of these third-party services is subject to their respective terms and privacy policies. FRC All Music is not responsible for the content, availability, or practices of third-party services, including any issues with PayPal transactions for song sales, Stripe payments for subscriptions, or event-related interactions. You are responsible for reviewing and complying with third-party terms and protecting yourself from fraud or malicious content.

14. Disclaimer

The Service, including the Website, apps, and all content and services, is provided “as is,” “as available,” and “with all faults.” FRC All Music makes no warranties, express or implied, regarding the Service, including its availability, security, or freedom from errors, viruses, or defects. We do not guarantee that content transmissions are secure or that measures to prevent unauthorized access will be effective in all cases. Your use of the Service is at your own risk, and you are responsible for ensuring its lawfulness in your jurisdiction.

15. Limitation of Liability

To the fullest extent permitted by law, FRC All Music LLC, its affiliates, and their respective officers, directors, employees, or agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service, including but not limited to:

  • Inability to access or use the Service or any content.
  • Changes, suspension, or termination of the Service or any part thereof.
  • Third-party claims of infringement related to your User Content or use of the Service.
  • Errors or omissions in the Service’s operation or content accuracy.
  • Failure to provide accurate information or maintain account security.
  • Misconduct by other users or third parties.
  • Loss of data, profits, goodwill, or any issues related to song sales, non-delivery of songs, or event disputes.

FRC All Music’s aggregate liability shall not exceed the greater of AUD$100 or the amounts paid by you for Pro account subscriptions in the previous 12 months. Losses are limited to those foreseeable at the time you agree to these Terms. Nothing in these Terms limits liability for death, personal injury caused by negligence, fraud, or any liability that cannot be excluded by law.

16. Indemnification

You agree to indemnify, defend, and hold harmless FRC All Music LLC, its affiliates, and their respective officers, directors, employees, or agents from any claims, losses, damages, or expenses, including legal fees, arising from:

  • Your violation of these Terms or Community Guidelines.
  • Third-party claims of infringement or privacy violations related to your User Content, song sales, or event information.
  • Any activity related to your account, whether by you or another person, unless caused by FRC All Music’s act or default.

17. Termination

You may terminate your account at any time by sending written notice to FRC All Music LLC, PO Box 246 South Fremantle WA 6162 Australia, or via email to postmaster@frc-all-music.com, or by deleting your account via the Website’s settings. Upon termination, your User Content may be removed, and you will refund any unused portion of paid Pro account fees, less a 50% administrative fee, provided the refund amount exceeds AUD$30, with international transaction fees deducted via Stripe.

FRC All Music may suspend or terminate your account if:

  • You are a repeat infringer (as per Section 10).
  • You breach material provisions of these Terms or Community Guidelines.
  • We elect to cease providing the Service in your jurisdiction.
  • Other reasonable circumstances, as determined by FRC All Music.

No refunds will be issued for Pro accounts terminated due to violations. Upon termination, your User Content may be deleted, except where retention is required by law or to protect our legitimate business interests. You are responsible for backing up your User Content before termination, as FRC All Music is not liable for deleted content.

18. Assignment to Third Parties

FRC All Music may assign its rights and obligations under these Terms to any third party without notice, including in connection with a merger, acquisition, or sale of assets. You may not assign these Terms or your rights without our prior written consent.

19. Severability

If any provision of these Terms is found unlawful, void, or unenforceable, it shall be severable and not affect the validity of the remaining provisions, which remain in full force.

20. Entire Agreement

These Terms, together with the Privacy Policy, Community Guidelines, and Cookie Policy, constitute the entire agreement between you and FRC All Music regarding your use of the Service, superseding any prior agreements. Any modifications must be in writing.

21. Governing Law and Dispute Resolution

These Terms are governed by the laws of Western Australia, Australia. Any disputes arising under or in connection with these Terms shall be resolved through the courts of Western Australia. For legal inquiries, contact us at postmaster@frc-all-music.com.
